IFP Ltd Affiliate Agreement
• ‘We’ means IFP Ltd a company registered in England and Wales.
• ‘Publisher’ means the individual or company participating in the IFP Ltd Affiliates System. ‘You’ and ‘Your’ also refers to the Publisher.
• ‘IFP Website’ means all HTTP pages accessed through the french-property.com domain name.
• ‘Publisher Website’ means the website or collection of websites owned and or operated by the Publisher.
• ‘Visitors’ means the individuals who visit the Publisher Website
Welcome to the IFP Ltd Affiliate system, this agreement forms the Terms and Conditions that apply to all Publishers participating in the IFP Ltd Affiliates System. All Publishers using the IFP Ltd Affiliate system are bound by this agreement; any breach of this agreement may result in the immediate termination of the Publishers account.
Subject to any fraudulent statements or misrepresentation, this agreement is the entire agreement between IFP Ltd and the Publisher and it will supersede any other oral or written communications, agreements, promises or representations. No variation or amendment to this agreement will be valid unless it is in writing and published to the IFP Website. This agreement is not intended to affect any consumer rights that the Publisher may have under provisions of any applicable law or regulation.
This is not an exclusive agreement with the Publisher and the Publisher is free to enter into any contract or agreement with any other advertising entity. The Publisher acknowledges and agrees that this agreement will not constitute a joint venture, pooling arrangement, agency relationship, partnership or formal business organisation of any kind.
This agreement may not be assigned, novated, sub-licensed or otherwise transferred by the Publisher in whole or part without the prior written consent of IFP Ltd. IFP Ltd may assign, novate, sub-licence or otherwise transfer this agreement in whole or part to any third party as part of a change in ownership, merger or takeover of IFP Ltd, without the Publishers consent.
In order to register for the IFP Ltd Affiliates System, potential publishers must complete the web form located at http://publishers.french-property.com/register/.
We shall asses the application in good faith and notify you of your acceptance or rejection. Applications may be rejected (at our sole discretion) if the Publisher Website is deemed to be unsuitable. Unsuitable websites include, but are not limited to, those that contain:
• Sexually Explicit Material
• Discrimination of any type
• Promotion of Illegal Activities
• Breaches of Intellectual Property
• Profanities and or Defamation\Libel.
If your application is rejected you may reapply to the IFP Ltd Affiliate System 28 days after Your original application. If Your application is successful and the Publisher Website is later deemed to be unsuitable (at our sole discretion) We may terminate this agreement immediately. The IFP Ltd Affiliate System is only available to individuals and or companies which can enter into and form contracts under applicable law.
The Publisher shall receive payments based on the number of enquiries made through the Publisher Website. The minimum payment is 100 Euros, each Publisher will be assigned a rate per enquiry delivered and this can be paid either monthly, quarterly, biannually or annually depending on the Publishers preference.
The rate per enquiry starts at €0.66 for up to 50 enquiries in a month. If the Publisher Website generates 51 enquiries or more per month the rate per enquiry will increase to €1.
We closely monitor the email addresses, IP addresses, HTTP Referrer and message content of enquiries sent through IFP Systems. This is done to avoid fraudulent activity and to cap the maximum number of paid enquiries to five per visitor per day.
If a visitor makes additional enquiries in a single day via the IFP Ltd Affiliate System, only the first five enquiries will be eligible for payment under the IFP Ltd Affiliate System.
Similarly if a visitor makes multiple enquiries to a single property only one enquiry will be eligible for payment under the IFP Ltd Affiliate system. Multiple enquiries to the same property by the same visitor are likely to be in error or to request additional information.
IFP Ltd will not be liable for the payment of invalid enquiries which are generated as a result of any person, bot or automated system, as determined by IFP Ltd. IFP Ltd reserves the right to withhold payments or charge back Your account if you are in breach of this agreement, at IFP Ltd’s sole discretion.
It is the Publishers sole responsibility to ensure that IFP Ltd has complete and current contact information in the form of email address, postal address and telephone number. If any changes are required to keep your account up to date please email firstname.lastname@example.org with your updated details.
IFP Ltd reserves the right to change our commission structure at any time, should such a change be necessary all Publishers will be informed by electronic mail. IFP Ltd will endeavour to provide 48hrs notice of such changes.
Once enquiries have been verified, the total commission for each month will be displayed in the payment pending section located at http://publishers.french-property.com.
Dependant on the payment schedule preferred by the Publisher; IFP Ltd will endeavour to make payments within 60 days by Sterling or Euro cheque.
Any charges levied by the Publisher’s Bank are the sole responsibility of the Publisher. IFP Ltd will not be liable for any charges incurred by the Publisher.
It is the sole responsibility of the Publisher to pay all applicable taxes or charges imposed by relevant government entities in relation to Your participation in the IFP Ltd Affiliate System.

from the Publisher Website. We will provide guidelines and logos for you to link to our homepage on request.
Responsibility for the Publisher Website
The Publisher will be entirely responsible for the development, operation and maintenance of the Publisher Website and for all content that appears on the Publisher Website. This includes but is not limited to:
• The technical operation of your site and all related equipment.
• The accuracy and appropriateness of materials posted on the Publisher Website.
• Ensuring that materials posted on the Publisher Website do not breach or infringe upon the rights of any third party.
• Ensuring that materials posted on your Site are not defamatory, libellous or illegal.
IFP Ltd disclaims all liability for these matters. Further, you will indemnify and hold us and our Affiliates harmless from all claims, damages and expenses (including, without limitation, legal fees) relating to the development, operation, maintenance and contents of the Publisher Website.
Term of the Agreement
The Term of this Agreement will begin upon our acceptance of your application to the IFP Ltd Affiliate System and will end when terminated by either party. Either You or We may terminate this Agreement at any time, with or without cause, by giving the other party oral or written (including electronic mail) notice of termination. Referral fees earnt up to the date of termination will remain payable unless the Publisher is in breach of the terms set out in this agreement or the Publisher is engaged in fraudulent activity relating to this account.
You are only eligible to earn referral fees on enquiries made from the Publisher Website via iframe code We have supplied. Upon termination the Publisher must immediately remove and cease to use the iframes, logos, trademarks and any other materials We have supplied.
Limitation of Liability
We shall not be liable for any delay or failure to perform any of our obligations if the delay or failure results from events or circumstances outside our reasonable control, including but not limited to acts of God, strikes, terror, lock outs, accidents, war, fire or failure of any communications, telecommunications or computer system.
We shall under no circumstances be liable for any indirect, incidental, loss of revenue, loss of goodwill or reputation, loss of opportunity, financial loss, consequential loss or damage whatsoever suffered by the Publisher.
Modifications and Jurisdiction of this Agreement
We may modify any of the terms and conditions set out in this agreement at any time and at our sole discretion by simply publishing the revised agreement on the IFP Website. Should any of the modifications be unacceptable to You, Your only recourse is to terminate this agreement. If the IFP Ltd Affiliates System is still in use on a Publisher Website after such a modification has been made You will be bound by the revised agreement.
These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
